Terms of Service

“Obsideon” or the “Service” refers to the software-as-a-service platform operated by Veritas Strategies, LLC, a Florida limited liability company (“Veritas,” “we,” “us,” “our”). All rights, obligations, and liabilities under these Terms accrue to Veritas Strategies, LLC. “Agency” refers to the individual or entity entering into these Terms with Veritas to access the Service. “End Client” refers to the Agency’s customer.
1. Acceptance and Eligibility
- By accessing or using the Service, the Agency agrees to be bound by these Terms.
- The Agency’s representative must be 18 or older and legally authorized to bind the Agency organization.
- The Agency represents it is a legitimate business operating lawfully.
- If the Agency does not agree, it must not use the Service.
2. Service Description
- Obsideon is a software-as-a-service platform that enables marketing agencies to manage local SEO, AI search visibility (AEO), Google Business Profile, content generation, and reporting for their End Clients.
- Veritas provides software tools; the Agency is responsible for strategy, execution, client relationships, and outcomes.
- Features, plan tiers, and limits as described on the Obsideon website, which is incorporated by reference.
3. Subscription, Billing, and Cancellation
- Subscription plans and pricing as set forth on the Obsideon website.
- Monthly recurring subscription, auto-renewing unless cancelled.
- Payments processed via Stripe.
- Cancellation effective at the end of the current billing period.
- No refunds for partial months or unused features.
- Veritas may modify pricing with 30 days’ written notice.
- Failed payments: 7-day grace period, then service suspension; account deletion after 30 days of non-payment unless resolved.
- Credit pool and seat allocations as defined in plan tier.
- Taxes (sales tax, etc.) are the Agency’s responsibility where applicable.
4. Account Security
- The Agency is responsible for safeguarding account credentials.
- The Agency must notify Veritas immediately at team@obsideon.io of unauthorized access.
- Veritas is not liable for losses arising from the Agency’s failure to protect credentials.
- The Agency is responsible for all activity under its account, including activity by its team members, End Clients, and any third parties to whom the Agency grants access.
5. Acceptable Use
The Agency agrees not to:
- Use the Service for illegal, fraudulent, or deceptive purposes
- Engage in spam or unsolicited outreach using Service-generated content
- Misrepresent AI-generated content as exclusively human-created where disclosure is required by law or platform policy
- Attempt to reverse-engineer, decompile, copy, or create derivative works of the Service
- Use the Service to develop a competing product
- Resell the Service as a standalone product (use on behalf of the Agency’s own End Clients is the permitted use case)
- Violate Google’s Terms of Service, any AI provider’s terms, or any third-party platform terms
- Manipulate search rankings using techniques that violate search engine guidelines (including but not limited to cloaking, hidden text, link schemes, scraped content)
- Generate or distribute defamatory, harassing, infringing, or harmful content
- Upload malicious code or attempt to disrupt the Service
- Exceed reasonable usage rates or circumvent usage limits
- Use the Service for prohibited industries (firearms, illegal substances, adult content, gambling where prohibited, multi-level marketing schemes)
Veritas may suspend or terminate accounts for Acceptable Use violations at its sole discretion, with or without notice.
6. Agency Warranties and Responsibilities
The Agency warrants and represents that:
- The Agency has all rights and authority to use End Client data within the Service
- The Agency has obtained all required consents from End Clients
- The Agency has provided End Clients with appropriate privacy notices
- The Agency complies with all applicable laws, including but not limited to: state privacy laws (CCPA, VCDPA, CPA, and similar); CAN-SPAM, TCPA, and similar communications regulations; FTC truth-in-advertising requirements; industry-specific regulations applicable to End Clients (real estate, healthcare, legal, financial)
- The Agency’s use of generated content (articles, posts, AI outputs) complies with all relevant laws and platform policies
- The Agency reviews AI-generated outputs before publication and bears full responsibility for published content
- The Agency has appropriate professional licenses for its services where required
- The Agency maintains its own client agreements with End Clients
- The Agency does not use the Service in connection with prohibited industries
7. AI-Generated Content Disclaimers
- The Service uses third-party AI providers (OpenAI, Anthropic, Google, Perplexity) for content generation, analysis, and citation tracking.
- AI outputs may contain inaccuracies, fabrications, or biases.
- AI-generated content is not legal, financial, medical, tax, or professional advice.
- The Agency bears sole responsibility for reviewing, fact-checking, and approving AI outputs before any publication, client delivery, or business use.
- Veritas makes no warranty regarding the accuracy, completeness, originality, or fitness for purpose of AI-generated content.
- AI outputs may be subject to AI provider terms (e.g., OpenAI usage policies) which the Agency agrees to comply with.
- The Agency is responsible for ensuring AI content complies with applicable disclosure requirements (FTC AI guidance, platform-specific AI disclosure rules).
- Veritas is not liable for any damages arising from the Agency’s use, modification, or publication of AI-generated content.
8. SEO and Performance Disclaimers
- Search engine algorithms and AI search systems change frequently and unpredictably.
- Veritas makes no guarantees regarding: search rankings, positions, or visibility; traffic, leads, or conversions; AI citation frequency, accuracy, or sentiment; Google Business Profile performance; or any specific business outcome.
- Past performance does not predict future results.
- The Agency acknowledges SEO and AEO are inherently uncertain and competitive.
- The Agency assumes all business risk arising from use of the Service.
9. Third-Party Services
- The Service integrates with Google APIs, AI providers, payment processors, and other third-party services.
- The Agency must comply with all applicable third-party terms (Google Terms of Service, AI provider policies, etc.).
- Veritas is not responsible for third-party service availability, changes, or failures.
- Third-party service outages do not entitle the Agency to refunds or service credits.
10. Intellectual Property
- Veritas and its licensors own all right, title, and interest in the Service, including software, designs, trademarks (including “Obsideon” and related marks), documentation, and improvements.
- The Agency receives a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms.
- The Agency retains ownership of its own content and End Client content provided to the Service.
- The Agency grants Veritas a license to process, store, and transmit Agency content solely for the purpose of providing the Service.
- Veritas may use aggregated, de-identified data for service improvement.
- Feedback the Agency provides may be used by Veritas without obligation.
11. Indemnification
The Agency agrees to indemnify, defend, and hold harmless Veritas Strategies, LLC, its officers, directors, members, managers, employees, contractors, agents, affiliates, parent companies, subsidiaries, successors, and assigns, and the Obsideon brand (collectively, the “Veritas Parties”) from and against any and all claims, demands, actions, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees and court costs) arising from or related to:
- The Agency’s access to or use of the Service;
- The Agency’s violation of these Terms or any policy referenced herein;
- The Agency’s violation of any third-party rights, including without limitation intellectual property, privacy, publicity, or proprietary rights;
- The Agency’s End Client relationships, including any disputes, claims, or causes of action between the Agency and its End Clients;
- Content published, distributed, or generated by the Agency or its End Clients using the Service, including AI-generated content;
- The Agency’s failure to comply with applicable laws, regulations, or industry standards;
- Any breach by the Agency of its warranties, representations, or obligations under these Terms;
- Any unauthorized access to the Agency’s account due to the Agency’s failure to maintain credentials securely;
- The Agency’s misuse or negligent use of AI-generated outputs;
- The Agency’s use of the Service in connection with prohibited industries or illegal activities.
Veritas reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the Agency, in which case the Agency will fully cooperate with such defense. The Agency will not settle any matter that affects Veritas without Veritas’s prior written consent.
This indemnification obligation survives termination of these Terms.
12. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. To the maximum extent permitted by applicable law, Veritas Strategies, LLC and its licensors disclaim all warranties, including without limitation implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
Veritas does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) defects will be corrected; (c) AI-generated content will be accurate, complete, or appropriate; (d) any specific search ranking, AI citation, or business outcome will be achieved; (e) third-party services (Google, AI providers, etc.) will remain available or unchanged.
No advice or information obtained from Veritas or through the Service creates any warranty not expressly stated in these Terms.
13. Limitation of Liability
To the maximum extent permitted by law, in no event will Veritas Strategies, LLC or any of the Veritas Parties be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, business interruption, or other intangible losses, arising out of or related to these Terms or use of the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not Veritas has been advised of the possibility of such damage.
The aggregate liability of Veritas Strategies, LLC and the Veritas Parties for any and all claims arising from or related to these Terms or the Service is limited to the greater of: (a) the amounts paid by the Agency to Veritas in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred dollars ($100.00).
The foregoing limitations apply even if any remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply in full to the Agency.
14. Termination
- Either party may terminate these Terms at any time as provided herein.
- Veritas may suspend or terminate the Agency’s access for: violation of these Terms; non-payment; suspected fraud or abuse; legal compliance reasons; business decisions affecting the Service.
- Upon termination: the Agency’s right to use the Service ends; Veritas may delete Agency data per Section 9 of the Privacy Policy.
- Sections that by their nature should survive termination (Indemnification, Limitation of Liability, Disclaimers, Intellectual Property, Governing Law) shall survive.
15. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
- Exclusive jurisdiction: state and federal courts located in Brevard County, Florida.
- The Agency consents to personal jurisdiction in such courts and waives objections to venue.
- Class action waiver: claims must be brought in individual capacity, not as a class representative or class member.
- Time limitation: any claim must be brought within one (1) year of accrual or is permanently barred.
16. Changes to These Terms
- Veritas may modify these Terms at any time.
- Material changes notified by email or in-product notice at least 30 days before taking effect.
- Continued use of the Service after notice constitutes acceptance.
- If the Agency does not agree to changes, the Agency must stop using the Service and may cancel per Section 3.
17. Miscellaneous
- Entire Agreement: these Terms constitute the entire agreement between the Agency and Veritas regarding the Service.
- Severability: if any provision is unenforceable, the rest remains in effect.
- No Waiver: failure to enforce any provision is not a waiver.
- Assignment: the Agency may not assign these Terms without Veritas’s written consent; Veritas may assign freely (e.g., in connection with M&A).
- Force Majeure: neither party is liable for delays caused by events beyond reasonable control.
- No Agency or Partnership: nothing creates an agency, partnership, or joint venture between the Agency and Veritas.
